Terms of Service

• You must be at least 18 years old and able to enter into a binding contract under Indian law.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account.
• Notify us immediately if you suspect unauthorised use of your account.

We provide business software (such as hospital information management, HR and ERP systems), web and mobile application development, and a WhatsApp Business messaging platform that lets businesses connect their WhatsApp Business Accounts and communicate with their customers. Specific features, pricing and service levels are set out in your order, quotation or subscription plan.

If you use our WhatsApp messaging platform, you also agree that:

• You will comply with the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and Meta's Commerce Policy.
• You will only message people who have given you their phone number and agreed to receive messages from your business (opt-in), and you will honour opt-out requests promptly.
• You will not send spam, unlawful, misleading, abusive or prohibited content.
• You are responsible for the content of the messages and templates you send, and for obtaining any consents required under applicable law.
• WhatsApp conversation charges set by Meta are billed as described in your plan, and are separate from our subscription fees unless stated otherwise.
• Meta or WhatsApp may suspend or restrict your WhatsApp Business Account or phone number under their own policies. We are not responsible for such actions.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law, including the Information Technology Act, 2000
• Upload or transmit viruses, malware or any harmful code
• Attempt to gain unauthorised access to our systems or other customers' data
• Reverse engineer, copy, resell or sublicense the Services except as permitted in writing
• Interfere with or disrupt the performance or security of the Services

You retain ownership of all data you enter into the Services ("Customer Data"), including patient, employee and customer records and WhatsApp messages. You grant us a limited right to host, process and transmit Customer Data only as needed to provide the Services. Our handling of personal data is described in our Privacy Policy.

You are responsible for the accuracy and legality of Customer Data and for obtaining any consents required to share it with us, including patient consent where applicable.

• Fees are as stated in your quotation, invoice or subscription plan, and are exclusive of applicable taxes (including GST) unless stated otherwise.
• Invoices are payable within the period stated on the invoice.
• We may suspend the Services if payment is overdue, after giving you reasonable notice.
• Except where required by law or agreed in writing, fees already paid are non-refundable.

The Services, including our software, designs, logos and trademarks (such as MESCOPE SOLUTIONS, Techmediz and CharmHR), are owned by MESCOPE SOLUTIONS or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Ownership of custom work developed specifically for you is governed by the relevant project agreement.

The Services may integrate with third-party services such as Meta / WhatsApp, payment gateways and cloud hosting providers. Your use of those services is subject to their own terms, and we are not responsible for their availability or actions.

We aim to keep the Services available and to fix issues promptly, but we do not guarantee uninterrupted or error-free operation. Planned maintenance will be notified in advance where possible. Support is provided through the contact details on this page and as described in your plan.

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential losses, including loss of profits, revenue or data. Our total liability for any claim relating to the Services is limited to the fees you paid us for the Services in the three (3) months before the claim arose.

Our software supports clinical and business workflows but does not replace professional medical judgement. Healthcare providers remain solely responsible for diagnosis and treatment decisions.

You agree to indemnify MESCOPE SOLUTIONS against claims, losses and expenses arising from your misuse of the Services, your violation of these Terms, or the content you send through the Services, including WhatsApp messages.

• You may stop using the Services at any time, subject to the terms of your plan or agreement.
• We may suspend or terminate access if you breach these Terms, fail to pay, or if required by law or by Meta / WhatsApp.
• After termination, you may request an export of your Customer Data within 30 days. After that, we will delete it as described in our Privacy Policy.

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Services after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Salem, Tamil Nadu.
